Contract Negotiation Support
Contract negotiation efforts can be complex and seem
daunting for companies, especially those that do not have in-house
counsel, have in-house counsel that are not IT savvy, or have highly
complex requirements (e.g., regulatory requirements).
Our professionals have years of experience working with IT clients,
client's legal counsel, and vendor's legal counsel. As such, we
can support our clients in contract negotiation efforts that include any
or all of the following services:
- Development of a contracting strategy, which
may include key negotiation points, potential tradeoffs, etc.
- Development of a contracting plan, including
key activities and targeted completion dates
- Development of a pricing strategy for software
and services procurement
- Definition of scope of work to be performed by vendor
- Definition of responsibilities by party (vendor and client)
- Review of software and services contracts; and documentation of
suggested revisions or alternatives, which may be applicable to
general terms and conditions, support and maintenance, service
level agreements (SLAs), response time guarantees,
milestone schedules, payment terms, regulatory requirements
(e.g., HIPAA, Stark), etc.
